Terms and Conditions

Effective Date: January 2026

By participating in the MBSC referral program (the “Program”), you agree to the following terms and conditions:

• Participants must be at least 18 years of age.
• You may refer any business owner, provided you are not referring yourself or a business in which you hold a direct financial interest.

• A €10,000 referral fee will be paid if:
  
  • You introduce a business owner to [Fund Name], and
  • That introduction results in a completed acquisition of the business by [Fund Name] or an affiliated acquisition vehicle.

• Referrals must be made directly to [Fund Name] via email, referral form, or another method approved by us.
• All information provided must be accurate and complete.
• A referral is deemed valid only once:
  
  • We confirm acceptance of the introduction, and
  • We have held a direct one-on-one discussion with the business owner.
• Referrals are not eligible if [Fund Name] was already in active contact with the business prior to the introduction.
• [Fund Name] will manage all discussions and negotiations with the business owner unless otherwise agreed in writing.

• The referral fee will be paid within 30 days of completion of the acquisition.
• Payment will be made via the method agreed at or prior to closing.
• [Fund Name] reserves the right to withhold payment if the referral was not made in good faith or if the referred business is not legitimate.

• You are solely responsible for any taxes, fees, or charges arising from receipt of the referral fee.
• [Fund Name] shall not be responsible for any tax reporting or withholding obligations and shall be indemnified against any related claims.

• You agree to keep all information relating to the referral and any potential transaction strictly confidential.
• No information may be disclosed to third parties without prior written consent from [Fund Name].

• Participation in the Program does not obligate [Fund Name] to pursue or complete any transaction.

• [Fund Name] may modify, suspend, or terminate the Program at any time without notice.

• You agree to indemnify and hold harmless [Fund Name] from any claims, losses, or damages arising from your participation in the Program.

• You may terminate participation at any time by notifying [Fund Name] in writing.
• [Fund Name] may terminate your participation if it reasonably believes you have breached these terms or acted in bad faith.

• These terms shall be governed by and construed in accordance with the laws of the Netherlands.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

Know a great business owner?

If you introduce [Fund Name] to a business we ultimately acquire, you’ll receive a €10,000 success fee, paid at closing.

We are looking for high-quality, owner-managed businesses where the owner may be considering a transition. All discussions are confidential, and there is no obligation for the seller.

This referral program is intended for private individuals and business contacts, not professional intermediaries or regulated advisors.

Who can participate?
Anyone aged 18 or over, except where you are referring yourself or a business in which you have a direct financial interest.

How much is the referral fee?
€10,000, payable once an acquisition successfully completes.

When is the fee paid?
Within 30 days of closing the transaction.

What counts as a valid referral?
An introduction that we accept and that leads to a direct conversation with the business owner, provided we were not already in contact.

Do I need to stay involved after the introduction?
No. [Fund Name] will handle all discussions and negotiations unless otherwise agreed.

Are professional advisors or brokers eligible?
No. The program is designed for private individuals and informal business contacts, not professional intermediaries.

Is my introduction confidential?
Yes. All conversations and information are handled with strict confidentiality.
